Terms and Conditions Agreement – Sources Cord Platform

This agreement constitutes a legally binding contract between the Sources Cord platform (hereinafter referred to as the "Platform"), headquartered in the Kingdom of Saudi Arabia, and the user (an entrepreneur or a commercial entity). The Platform aims to provide a technical environment for commercial and professional networking between business sectors (B2B). Your use of the Platform signifies your full and absolute acknowledgment to comply with all the terms and conditions set forth below.

Article 1: Definition of Service and User Eligibility

Nature of Business: Sources Cord is an intermediary platform for business networking and connecting suppliers/sellers with buyers among entrepreneurs and corporate entities.
Eligibility for Use: Registration on the Platform is restricted to legal entities (companies and establishments) or individuals practicing commercial activities (entrepreneurs) who possess full legal capacity to contract in accordance with Saudi laws.
Professional Use: The use of the Platform for personal or individual consumption (B2C) is strictly prohibited. The Platform is designated exclusively for business-to-business (B2B) transactions.

Article 2: User Obligations (Sellers and Buyers)

Data Accuracy: The user is obligated to provide accurate data (entity name, commercial registration number, contact information). This data is subject to the Platform's verification policy.
Independence of Contract: The user acknowledges that any agreement or contract concluded between them and another user via the Platform is an independent contract to which Sources Cord is not a party, and the Platform bears no consequences resulting from any party's breach of its obligations.
Commercial Disputes: In the event of a dispute between a seller and a buyer, the responsibility for its resolution lies with the disputing parties according to the contracts concluded between them and the applicable laws in the Kingdom.

Article 3: Limitation of Liability for Sources Cord

Content: The Platform does not guarantee the accuracy of the content published by users (sales offers, purchase requests). The responsibility for verification and Due Diligence falls entirely on the user prior to concluding any transaction.
Service Interruption: The Platform makes every effort to ensure the continuity of the service, but it is not responsible for any technical failure beyond its control or resulting from scheduled maintenance work.
Damages: Sources Cord assumes no liability for any financial losses or direct or indirect damages resulting from the use of the Platform or the failure of deals between members.

Article 4: Intellectual Property and Information Confidentiality

Ownership: All intellectual property rights of the Sources Cord platform (including the logo, software, and user interfaces) are the exclusive property of the Platform. Copying or attempting reverse engineering is strictly prohibited.
Privacy: At Sources Cord, we are committed to protecting your data in accordance with the Saudi Personal Data Protection Law.
Trade Secrets: The user is strictly obligated not to disclose any trade secrets they become privy to through their communication with other users via the Platform.

Article 5: Prohibited Conduct

Sources Cord users are strictly prohibited from engaging in the following:

Impersonating another entity or using forged documents.
Using the Platform to send unsolicited promotional messages (Spam).
Engaging in any conduct aimed at monopolizing the market or harming competitors through illegal means.
Trading in goods or services that violate the laws of the Kingdom of Saudi Arabia.

Article 6: Fees and Subscriptions

The Platform clearly states any fees related to subscriptions or value-added services, and it reserves the right to update the pricing list periodically.
All paid fees are subject to the applicable Value Added Tax (VAT) regulations in the Kingdom.

Article 7: Termination of Membership

The Platform reserves the absolute right to suspend or delete the account of any user proven to have breached these terms, or in the event of receiving serious complaints from other users, or in the event of engaging in activities that damage the Platform's reputation, without the need for prior notice.

Article 8: Governing Law

This agreement shall be governed by and construed in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia. In the event of any dispute arising from this agreement, it shall be resolved before the competent judicial authorities in the city of Riyadh.
